Terms of Use

SotechSystems.com explicitly provides automotive Drop Ship | Wholesale services only to authorized Resellers and Supplier partners. These B2B Services include merchandise distribution, supply chain dropship fulfillment, logistical outsourcing, inventory management, information resources, and e-commerce services. Our comprehensive Drop ship Service is designed to serve the needs of our customers .... from the manufacturer and artisan to the reseller. SotechSystems.com reserves the right to change prices and/or cancel orders at any time. Cell Phones are guaranteed against defect, but no guarantee is made for compatibility with specific cellular service carriers.

Sotechsystems.com strictly FORBIDS reseller websites from promoting SotechSystems.com merchandise if said website is also displaying pornographic, graphically violent, and/or other offensive material. Threats or profanity of any kind made to Sotechsystems.com or its representatives will not be tolerated. SotechSystems.com retains full authority to cancel Reseller account status without prior notice, for any reason. Because of the sensitive nature of wholesale pricing levels, SotechSystems.com prohibits disclosure of its price information by Reseller customers to all third parties. All customer pricing should be considered CONFIDENTIAL and treated as such.

Order cancellations of any kind related to E-commerce design services may not be cancelled after 24 hours of placing an order.

Sotechsystems.com in some cases sends goods to you from China. As such, you (or the consignee) are IMPORTING. In many countries this means your customer will be liable for import duties and other taxes. It's YOUR responsibility to find out about this, and YOUR responsibility to pay the taxes/charges on receipt of the items. Drop shippers: you must inform your customers about this in advance.

Pricing Controls

Certain manufacturers require minimum retail selling price levels (ie "MAP") for their merchandise. All SotechSystems.com Resellers must follow these pricing guidelines, which may be found by logging into your Reseller Account.

Product Images License

Currently authorized SotechSystems.com Resellers are given provisional rights to use any and/or all product photographs and images found at SotechSystems.com. However, under NO conditions may photos and/or SotechSystems.com images be used except for the express purpose of promoting said merchandise for resale to customers. Product images may not, under any circumstances, be placed on personal websites and/or used outside internet-based sales (unless with prior written consent from SotechSystems.com).

Communication with Manufacturer Organizations

SotechSystems.com is an authorized wholesale distributor for the various manufacturer brands presented at the SotechSystems.com website. SotechSystems.com highly discourages direct correspondence between Reseller customers and its manufacturer vendor organizations, as difficulties likely arise due to redundant communication within the supply chain. SotechSystems.com reserves the right to terminate customer accounts should manufacturer communication persist by the customer. However, end consumers of merchandise are always welcome to contact manufacturers for additional product information, if desired.

Unallowed Promotions

The following items/services may not be resold (unless otherwise approved by SotechSystems.com): SotechSystems.com E-commerce Services, Website Design, Website Hosting, eFolderz.com Image Sharing Services, Reseller Membership Access to SotechSystems.com and its properties, and any/all other service-based offerings provided by SotechSystems.com.

Payment Terms

SotechSystems.com accept the following payment methods (for inventory ordering): PayPal, Western Union, Visa and Master Card. Bank Wire Transfers require an additional inbound $15.00 fee which is required by the banking institution. Personal and/or company checks require up to 7 business days to clear prior to order processing, whereas bank wire transfers and money orders require 1-2 business days. SotechSystems.com forbids using the credit card of another party for order fulfillment purposes. If you and/or your organization is using a credit card not associated with the name of the primary Reseller contact person, SotechSystems.com must have signed authorization on file in order for us to be able to accept payment from said party. For payments made via credit card, SotechSystems.com charges its customers immediately once an order is placed.

Order Cancellations

Effective 4/06/07, all order cancellation requests made after 2 business days from the date and time order was placed will incur a 2% cancellation fee (based on order total). Exceptions to this policy include cancellation requests related to unexpected shipping delays. If an order does not ship within the originally specified time frame (i.e. 3-5 business days, or later if otherwise specified), no cancellation fee will occur.

Refunds

SotechSystems.com promptly refunds all cancelled order transactions within 2 business days of the original Reseller cancellation request date. Please note that back-order refunds more than thirty (30) days old based on original order date are refunded via SotechSystems.com company check (and delivered via USPS first class postal mail). All available funds associated with a positive account balance will expire after 365 days of order inactivity, and may not be used toward future purchases.

Reseller Tax Identification

SotechSystems.com requires each customer to furnish either a Federal Employer Identification Number (EIN), commonly known as a "Federal Tax ID", or the Social Security Number of a principle owner within their respective organization. In certain cases, SotechSystems.com may seek additional tax permit information, such as Resale Certificates for Reseller customers based in California.

Domain Rental Licensing

The "lessee" agrees to make a one time payment of yearly rate. Failure of written notice or commitment to renew this rental agreement within 45 Days of the expiration date will constitute a cancellation of this agreement and continued use of the domain name. New Rental Agreements are available with written notice or commitment of New Yearly Rental Agreement. The lessee acknowledges that SotechSystems.com as the owner of this domain name, SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES RELATING TO THE USE, OR THE INABILITY TO USE, THE DOMAIN NAME, OR IN ANY OTHER WAY RELATED TO THE DOMAIN NAME. This includes the free services of domain name forwarding and email forwarding since those services are provided by a third party whom the name is registered with and is outside of the control of SotechSystems.com. It will be the sole responsibility of the lessee to check that the services of the name are working correctly. Any DNS, domain name forwarding, or email forwarding changes will be made within 10 days of notification from lessee.

THE DOMAIN NAME MUST BE FOR LEGAL USE ONLY. Spamming will not be tolerated. Spamming, Hate sites, Warez, etc... while in rental with our domain will forfeit and render this agreement null and void immediately. (This means: We pull the domain first and ask questions later without prejudice or refunds.) The domain name lessee hereby represents that the domain to be listed does not interfere with the rights of any third party, and that the domain is not being rented for any unlawful purpose.

The lessee will have Exclusive Rights to this Domain Name and that SotechSystems.com cannot sell, rent, transfer, or convey the Name to any other person or entity during this Rental Period*. (*Except for Copyright Protection Issues)

The domain lessee understands that SotechSystems.com will abide by any competent court order regarding the posting, listing, or rental of any disputed domain, and agrees that SotechSystems.com shall not be held liable in any way for the actions ordered by the court.

Legal Venue

Irish law (IP and other law) governs this entire agreement. This instrument shall represent the entire Agreement between the parties hereto; any other or prior understandings or agreements being hereby canceled, having no further force and effect thereof. This agreement may not be assigned or transferred in any manner by either party without prior written notification.

Indemnity. SotechSystems.com customer hereby agrees to defend, indemnify, and hold harmless SotechSystems.com, its officers, directors, employees, and agents, for any loss or damages awarded by a court of competent jurisdiction resulting from any claim, action, or demand arising out of or related to account activity with SotechSystems.com. Such claims shall include, without limitation, those based upon intellectual property trademark or service mark infringement, trade name infringement, dilution, tortuous interference with contract or prospective business advantage, unfair competition, defamation or injury to business reputation.

* We can't deliver to PO boxes, APO addresses, or certain remote areas. We reserve the right to refuse, cancel, and refund any orders where we deem the address to be undeliverable.

* You need a valid phone number on your account. Dropshippers - you MUST provide your customer's phone number for the courier to use.

* Under the terms of 12 months warranty, if a product arrives broken or develops a fault during the warranty period, you are responsible for the costs of returning it for repair / compensation.

* Sotechsystems.com doesn't accept returns of products which are not faulty. If you order the wrong products by mistake, or order products that cannot work in your country (e.g. wrong GSM type for cell phones, DVB-T to unsupported countries, PAL/NTSC to wrong regions) we will not offer return/exchange after the goods are sent out.

* Flashing the firmware on products voids the warranty. Even if the product comes with firmware update features / software, please do not use it. The same goes for opening up the body of a product and breaking the warranty seal.

* Take note of the *sensor* megapixel rating on digital cameras, not the maximum interpolated rating printed on the product or in the manual by the Chinese manufacturer.

* We strongly recommend you order samples before proceeding with large wholesale orders. As such we may not offer you detailed quantity price breaks until you have successfully placed sample orders.

* You cannot collect affiliate commissions on your own orders.

* If you pay for an order and cancel it, or we are offering compensation for a failed delivery or warranty return, we reserve the right to offer "credit against future orders" instead of a cash refund.

* All new customers paying by credit card / debit card / Paypal are subject to a risk assessment inspection. This can lead to a delay of your first order while we request ID verification from you. This is common practice for any merchant protecting against fraud and your documents submitted will be strictly protected under our privacy policy and, per our data protection policy, not retained beyond the time of the check.

All our products are covered by a 12 MONTH WARRANTY.

Due to our stringent sourcing and QC processes, the fault rate on products shipped out by SotechSystems.com is very low. However, sometimes faults develop which couldn't be detected before, and we will help you solve these problems to a level far beyond what you will receive from any other China-based seller.

If you have any difficulties whatsoever with the products, or you are dissatisfied for whatever reason, you can contact us and we will discuss the issue in an open, honest way.

If you have a problem with a product you bought from us before

* In general, if a product develops a fault during the 365 days since you received it, and the fault is due to a quality issue rather than your own breakage or misuse, we will accept a return.

* Customers need to pay the cost of returning faulty products back to the SotechSystems.com as instructed by Customer Support.

* Returns without prior discussion and authorization will not be accepted.

* When we receive your authorized return we will repair the product for free and send it back to you for free. Repairing may involve changing parts, for example a faulty screen. In general you will receive back, fixed, the same product you returned to us.

* If a repair is impossible we will credit you what you originally paid so you can choose to buy a new one or change to a different item.

We don't believe companies should ignore their customers or try to hide from problems. We will do our best to deal with your enquiries promptly and helpfully.

Please tell us if you are a drop-shipper and have returns issues with SotechSystems.com goods you have sold to your customers: we can do RMA directly with your customers or they can do it through you (recommended).
